Confidentiality Agreement

1. Introduction

This Confidentiality Agreement ("Agreement") governs your obligations regarding confidential information encountered while performing tasks on patxin.com ("patxin", "the Platform"). By registering as a patxer and accepting this Agreement, you commit to the obligations set out below.

This Agreement is supplementary to the Terms of Service and the Privacy Policy. In case of conflict, the more restrictive provision applies.

2. Definitions

• Confidential Information: any task context, data, results, code, documents, business information, or other materials provided to you or generated by you during task performance on the Platform. This includes partially redacted data and any information that can be inferred from task materials.
• Task: a cognitive micro-task assigned to you through the Platform on behalf of a Company.
• Company: the organization that submitted the task request through the patxin API.
• Information Policy: the data handling rules configured by the Company for each project, which determine what information you can see and how you must handle it.

Confidential Information does not include information that: (a) is or becomes publicly available through no fault of yours; (b) was already known to you before receiving the task, with documented proof; or (c) is independently developed by you without reference to task materials.

3. Core Obligations

3.1 Non-disclosure

You must not disclose, share, publish, transmit, or make available any Confidential Information to any third party, whether in whole or in part, in any form or medium. This includes but is not limited to verbal disclosure, social media posts, blog articles, forum discussions, and communications with other patxers.

3.2 No data retention

You must not save, screenshot, photograph, copy, download, cache, or retain any task data after submitting your result. You must delete any notes, drafts, scratch work, or temporary files related to the task immediately upon submission.

3.3 No secondary use

You must not use Confidential Information for any purpose other than completing the assigned task. Prohibited uses include but are not limited to: building training datasets, personal projects, competitive analysis, academic research, portfolio samples, or any commercial exploitation.

3.4 No AI tool input

Unless the task's Information Policy explicitly permits it, you must not input task data into AI tools, large language models, chatbots, code assistants, or any automated system. Task data entered into third-party AI tools may be stored, logged, or used for training by those services, which constitutes an unauthorized disclosure.

3.5 Device and environment security

When performing tasks, you must use reasonable security measures:

• Use a personal, password-protected device (not shared or public computers)
• Do not perform tasks on shared or public screens
• Use a secure network connection (avoid public WiFi without VPN)
• Ensure no unauthorized persons can view your screen while working on tasks
• Keep your patxin account credentials secure and do not share them

4. Information Policy Levels

Each task comes with an Information Policy configured by the Company. The policy determines what data you receive and what restrictions apply. You must always respect the policy level indicated for each task.

Higher policy levels may impose additional restrictions beyond those listed in this Agreement. You will always see the applicable policy before accepting a task.

5. Duration

Your confidentiality obligations under this Agreement:

• Begin when you accept a task and receive Confidential Information
• Continue indefinitely for information that constitutes trade secrets
• Continue for 5 years from the date of task completion for all other Confidential Information
• Survive termination of your patxer account

6. Breach and Consequences

If you breach any obligation under this Agreement, the following consequences may apply:

• Immediate suspension: your account will be suspended pending investigation
• Balance forfeiture: pending earnings may be withheld during the investigation period
• Permanent ban: confirmed breaches result in permanent account termination
• Company notification: the affected Company may be notified of the breach (without disclosing your identity unless legally required or necessary to mitigate harm)
• Legal liability: you may be held liable for damages resulting from unauthorized disclosure, including direct damages, consequential damages, and legal costs incurred by the Company or patxin

patxin reserves the right to report confirmed breaches to relevant authorities where required by law.

7. Exceptions

You may disclose Confidential Information only when:

• Required by law, court order, or regulatory authority — provided you give prompt notice to patxin (at [email protected]) where legally permitted, to allow us to seek protective measures
• Explicitly authorized in writing by the Company that owns the task

8. Representations

By accepting this Agreement, you represent and warrant that:

• You have the legal capacity to enter into binding agreements
• You understand the nature and scope of your confidentiality obligations
• You will comply with all applicable data protection laws, including the GDPR where applicable
• You will promptly notify patxin if you become aware of any unauthorized disclosure of Confidential Information

9. Governing Law and Jurisdiction

This Agreement is governed by the laws of Spain. Any disputes arising from or related to this Agreement shall be submitted to the courts of Zaragoza, Spain.

10. Changes to This Agreement

We may update this Agreement from time to time. Material changes will be communicated via email to registered patxers. Continued use of the Platform after notification constitutes acceptance of the updated Agreement. The "Last updated" date at the top indicates the most recent revision.
